These terms and conditions are governed by and will be construed in accordance with the laws of the Republic of Singapore where Spree is available.

We want everyone to have a positive and safe experience on Spree. Here are some things you should not do while using our service:

Don't engage in illegal activities. Don't take any action that infringes or violates the rights of others, violates the law, or breaches any contract or legal duty you owe to anyone.

Don't provide false information. Don't post information that you know is untrue, misleading, or inaccurate. Do not engage in any deceptive or fraudulent conduct.

Don't offer prohibited items. Don't offer any items that are illegal, violate Spree' policies, rules, or guidelines, or violate any applicable law, statute, ordinance, or regulation. Please refer to our Acceptable Use Policy for more details.

Don't victimize anyone. Don't engage in any threatening, abusive, harassing, defamatory, libelous, tortious, obscene, profane, or invasive conduct that violates another person's privacy.

Don't spam. Don't distribute unsolicited or unauthorized advertising or promotional material, or any junk mail, spam, or chain letters. Don't run mail lists, listservs, or any kind of auto-responder or spam on or through Spree.

Don't harm anyone's computer. Don't distribute software viruses or any other material designed to disrupt the proper functioning of any software, hardware, or equipment on Spree, whether it is owned by Spree or any other party.

Don't misuse other users' personal information. While using Spree, you may receive information about other users, such as their names, email addresses, and postal addresses. This information is provided solely for participating in Spree; do not use it for other purposes, and don't misuse it.

Please note that Spree reserves the right to suspend or terminate your account if you violate any of these rules or our policies, or if we believe that your actions may harm Spree, our users, or third parties.

Spree does not guarantee the accuracy, completeness, or reliability of any content posted by users on the platform. We don't endorse such information or content and are not responsible for any disputes or issues that may arise between buyers and sellers.

Furthermore, we don't guarantee the availability, accuracy, or quality of any products, services, or information offered by sellers on the platform.

We don't provide any warranties or guarantees of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

You agree that any chargebacks or inquiries from the bank that may arise from transactions when accepting card payments on the platform are the responsibility of the buyers and sellers. You also understand that Spree is not involved in the decision-making process of chargeback outcomes. We recommend that appropriate steps be taken to protect against fraud and other risks.

Spree shall not be held liable for any claims or damages that may arise from your use of the platform, including but not limited to direct, indirect, incidental, consequential, or punitive damages. Moreover, we cannot be held responsible for the actions of any third-party websites or services that may be linked to or integrated with the platform. We advise users to be cautious when interacting with such websites or services.

By using the platform, you release Spree from any claims, damages, or demands of any kind, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising from disputes or the use of the platform. Please note that all content accessed through the platform is at the user's own risk, and Spree is not responsible for any resulting damage or loss to any party.

You acknowledge and agree that you use the platform and any content on the platform at your own risk.

Spree does not guarantee that any content on the platform is accurate, complete, or up-to-date. We are not responsible for any damages or losses that may arise from your use of any content on the platform.

You are solely responsible for verifying the accuracy and completeness of any content on the platform before relying on it for any purpose.

Creating an account on Spree is free. However, we offer a range of subscription tiers that provide access to premium features and enhanced functionality. Details of each subscription plan, including the features included, pricing, and billing cycles, will be clearly presented at the time of sign-up.

We also collect fees for certain additional paid services, such as using our advertising platform or participating in our creator marketplace. These fees may vary depending on the service.

Please note:

Subscription fees are billed on a recurring basis (monthly or annually, depending on the selected plan) until cancelled.

By subscribing, you authorize us to charge your payment method on a recurring basis.

You can cancel your subscription at any time, but cancellation will take effect at the end of your current billing cycle. We do not offer refunds for partial periods or unused features.

Each payment provider we use is its own company. Spree is not responsible for their performance or any issues that may arise.

You are responsible for paying any additional fees or taxes associated with your use of Spree.

By using our paid services or subscribing to a tier, you agree to pay all applicable fees and charges. Failure to do so may result in suspension or termination of your access to those services.

Payment processing services for User(s) and Merchant(s) on Spree are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a User/Merchant on Spree, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Spree enabling payment processing services through Stripe, you agree to provide Spree accurate and complete information about you and your business, and you authorize Spree to share it and transaction information related to your use of the payment processing services provided by Stripe.

Spree uses Stripe to make payouts to Merchant(s). The Stripe Recipient Agreement applies to your receipt of such payouts. To receive payouts from Spree, you must provide us with accurate and complete information about you and your business, and you authorize us to share it and transaction information related to your payout with Stripe.

At Spree, we want you to have a great experience with our platform. However, we understand that sometimes refunds may be necessary. Please note that each shop is responsible for their own refund terms and Spree does not interfere nor aid in any refund.

All refund requests and disputes should be made directly with the shop account holder. We encourage you to contact us in the event of an issue, and we will do our best to help mediate the situation. However, ultimately, the shop account holder has the final say in any refund resolution.

If you have any questions or concerns regarding our refund terms, please don't hesitate to contact us.

At Spree, we take compliance and safety seriously. Therefore, certain types of businesses are not allowed to use our Creator Live Studio service. Here are the prohibited businesses:

Investment and Credit Services: If you provide investment advice, credit counseling or repair, or debt reduction services, you can not use our Creator Live Studio service.

Money and Legal Services: If you offer money transfer services, virtual currency or stored value, payday loans, bail bonds, or legal services, you cannot use our Creator Live Studio service.

Prohibited Goods and Services: If you sell products or services that are illegal or prohibited by law, such as drugs, weapons, or counterfeit items, you cannot use our Creator Live Studio service.

We reserve the right to review and remove any Creator Live Studio that violates our terms of service. If you're unsure whether your business is allowed to use our Creator Live Studio service, please contact us for clarification.

Spree reserves the right to modify or terminate any aspect of the services at any time and at its sole discretion. Unless otherwise specified, these terms are intended for your use only, and no third-party beneficiaries are permitted. Any waiver of these terms shall not be deemed to waive any other term or right, and any failure by Spree to enforce any provision of these terms shall not constitute a waiver of that provision. Any claims related to the use of our services must be brought within one (1) year of the date the cause of action arose; otherwise, such claims are barred.
